Why Do I Need to File a DBA? This is because a trade name is something not real, and thus fictitious that you thought out of your own mind. So, since it is a name that you trade under, you must registered to make it official and the public can search and find out who that trade name belongs to and who filed the form under what address. AZ revised Statutes, Sec. 29-3101 and the restructuring act. AZ law for LLCs changed the LLC law to additional LLC provisions. For example, changes in LLC name that must contain "limited liability company," or "LLC". The LLC name can be reserved for a 120 day period.

LLC Operating Agreement

It can now be oral not only "in writing," which means you can use a recorder to record it but the operating agreement stands over the state provisions. By the same token, if something is not mentioned in the LLC agreement, the AZ LLC default provisions apply.

LLC Managment
As opposed to AZ LLC law, in some states, the managment issue is not provided in state LLC provisions. In AZ, however, managment is reserved to the LLC members unless otherwise provided in the LLC operating agreement. Despite that, whoever manages an LLC in Arizona, owes a fiduciary duty of care an loyalty unless otherwise provided in the agreement.



Sharing of Distributions
In case of dissolution. The distribution LLC assets is equal among the LLC member but you can change that in the LLC agreement.



Recordkeeping
AZ provisions provide for recordkeeping of financial records for at least 3 years. Items such as a record of members, managers, and copies of the LLC articles as well the operating agreement must be kept.

Mergers and Conversions
The AZ entity and restructuring act provides that mergers and converions are allowed ase well as interst excahges and domestications.

Dissolution

IRS rule: The client must issue a 1099 form to the independent contractor and the independent contractor must have a federal tax ID. However, even sole owners may obtain a federal ID and use it as a business tax ID instead of using their own social security number as a business tax ID number.
However, all other licenses that apply to sole proprietors as discussed here are requited regardless of getting a federal tax ID number.


If you are thinking of hiring help, you will need a state employer ID and an IRS number employer ID. I.e., a IN Federal Tax Id Number ($29)  and a(n) IN  State Employer Tax Number
